{"id":520,"date":"2020-01-13T18:26:44","date_gmt":"2020-01-13T23:26:44","guid":{"rendered":"https:\/\/www.oaq.com\/ressources\/publications-de-loaq\/six-mauvaises-raisons-domettre-le-contrat\/"},"modified":"2026-02-23T16:25:48","modified_gmt":"2026-02-23T21:25:48","slug":"six-mauvaises-raisons-domettre-le-contrat","status":"publish","type":"post","link":"https:\/\/www.oaq.com\/ressources\/publications-ordre\/six-mauvaises-raisons-domettre-le-contrat\/","title":{"rendered":"Six mauvaises raisons d&rsquo;omettre le contrat"},"content":{"rendered":"\n<p>Le bon sens et l\u2019usage mettent en \u00e9vidence la grande utilit\u00e9 du contrat\u2009: \u00e9tablir clairement les obligations de chacune des parties, pr\u00e9ciser les avantages qui seront obtenus en \u00e9change de ces obligations et donner une d\u00e9finition mat\u00e9rielle et temporelle de ces obligations et avantages.<\/p>\n\n\n\n<p>S\u2019il peut \u00eatre tentant d\u2019omettre le contrat dans certaines situations, cette pratique est d\u00e9conseill\u00e9e, quelles que soient les circonstances. Voici les principaux motifs invoqu\u00e9s par les architectes pour justifier l\u2019omission du contrat et les r\u00e9ponses des inspecteurs de l\u2019OAQ.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">1 \u00ab\u2009Le mandat est tout simple.\u2009\u00bb\u2009<\/h4>\n\n\n\n<p>Quelle que soit l\u2019ampleur du mandat, les architectes sont tenus, en vertu de leur&nbsp;<a rel=\"noreferrer noopener\" href=\"http:\/\/legisquebec.gouv.qc.ca\/fr\/ShowDoc\/cr\/A-21,%20r.%205.1\/\" target=\"_blank\">Code de d\u00e9ontologie<\/a>, de conclure des ententes avec leurs clients concernant l\u2019envergure, les modalit\u00e9s et&nbsp;la r\u00e9mun\u00e9ration des services avant d\u2019entreprendre ceux-ci (article&nbsp;12). Bien que le Code de d\u00e9ontologie n\u2019en fasse pas mention, les inspecteurs de l\u2019OAQ recommandent que l\u2019entente soit \u00e9crite, ne serait-ce que sous la forme d\u2019un courriel. Le <em>Manuel canadien de pratique de l\u2019architecture<\/em> [1] et le <em>Guide de pr\u00e9vention du Fonds des architectes<\/em> [2] indiquent d\u2019autres balises au sujet des petits mandats qu\u2019il est judicieux d\u2019observer.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">2 \u00ab\u2009Le client n\u2019a pas son propre contrat de services; ce n\u2019est pas un client expert ou un grand donneur d\u2019ouvrage.\u2009\u00bb<\/h4>\n\n\n\n<p>En l\u2019absence de contrat provenant du client, les inspecteurs de l\u2019OAQ conseillent le recours aux contrats types, par exemple ceux de l\u2019Association des architectes en pratique priv\u00e9e du Qu\u00e9bec (AAPPQ; voir \u00ab\u2009<a href=\"https:\/\/www.oaq.com\/devoirs-de-larchitecte\/formation-continue\/aide-a-la-pratique\/les-contrats-types-de-laappq-des-outils-de-prevention\/\" target=\"_blank\" rel=\"noreferrer noopener\">Des outils de pr\u00e9vention<\/a>\u2009\u00bb) et de l\u2019Institut royal d\u2019architecture du Canada (IRAC).\u00a0<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">3 \u00ab\u2009Nous avons une relation de longue date avec ce client.\u2009\u00bb<\/h4>\n\n\n\n<p>Lorsque le projet se d\u00e9roule bien \u2013 et c\u2019est ce qui arrive la plupart du temps \u2013, le contrat remplit une simple fonction administrative\u2009: il d\u00e9finit les conditions de la prestation de services et de la r\u00e9tribution. Mais, quand les choses tournent mal, le contrat se r\u00e9v\u00e8le primordial pour r\u00e9gler le litige ou faire valoir vos droits.&nbsp;<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">4 \u00ab\u2009Un contrat, c\u2019est long et complexe, \u00e7a pourrait effaroucher le client.\u2009\u00bb<\/h4>\n\n\n\n<p>Un \u00ab\u2009contrat maison\u2009\u00bb ou une offre de services contenant des conditions g\u00e9n\u00e9rales sign\u00e9e par les deux parties peut tr\u00e8s bien faire l\u2019affaire. Cependant, il est prudent de faire pr\u00e9parer ces documents au d\u00e9part par un conseiller juridique. Par ailleurs, tant l\u2019AAPPQ que l\u2019IRAC proposent des versions abr\u00e9g\u00e9es de leurs contrats types qui peuvent \u00eatre utiles.&nbsp;<\/p>\n\n\n\n<p>Quelle que soit la formule adopt\u00e9e, faites valoir au client que vous devez respecter vos obligations d\u00e9ontologiques et les recommandations de votre ordre professionnel. Vous pouvez aussi lui proposer de revoir le contrat avec lui, ce qui vous donnera l\u2019occasion d\u2019expliquer, d\u00e8s le d\u00e9part, la nature de vos services et vos obligations respectives. Cela aura pour effet de rassurer le client et \u00e9vitera bien des malentendus par la suite.&nbsp;<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">5 \u00ab\u2009Les contrats types contiennent des conditions ou des tarifs inacceptables pour ce client.\u2009\u00bb<\/h4>\n\n\n\n<p>L\u2019int\u00e9r\u00eat des contrats types est qu\u2019ils fournissent un aide-m\u00e9moire des sujets dont il est important de discuter avec le client, par exemple les dispositions applicables en cas de non-paiement, les modalit\u00e9s de r\u00e9siliation du mandat ou les droits d\u2019auteur. En parler avant de commencer le mandat permet d\u2019\u00e9viter les mauvaises surprises de part et d\u2019autre.<\/p>\n\n\n\n<p>Ces contrats sont faits pour couvrir une grande vari\u00e9t\u00e9 de situations. Vous pouvez les adapter, entre autres en biffant les dispositions qui ne s\u2019appliquent pas ou qui ne sont pas pertinentes.&nbsp;<\/p>\n\n\n\n<p>En ce qui a trait aux tarifs qui y figurent, ils ne sont mentionn\u00e9s qu\u2019\u00e0 titre indicatif. Il faut les voir comme une mani\u00e8re de sensibiliser les clients au juste prix des services d\u2019architecture.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">6 \u00ab\u2009Le client pourrait exiger des clauses d\u00e9favorables pour nous.\u2009\u00bb<\/h4>\n\n\n\n<p>La n\u00e9gociation qui pr\u00e9c\u00e8de la signature d\u2019un contrat donne aux parties l\u2019occasion de se mettre d\u2019accord. Si les positions sont \u00e0 ce point \u00e9loign\u00e9es qu\u2019une entente s\u2019av\u00e8re impossible, mieux vaut le savoir d\u00e8s le d\u00e9part, avant d\u2019entamer le mandat. Si, \u00e0 cette \u00e9tape, les demandes du client vous paraissent d\u00e9raisonnables, peut-\u00eatre que la relation d\u2019affaires n\u2019en vaut pas la peine.<\/p>\n\n\n\n<p>En fin de compte, le contrat est plus qu\u2019une formalit\u00e9 administrative et m\u00eame plus qu\u2019un outil de protection en cas de litige. C\u2019est aussi un outil de communication dont vous pouvez vous servir pour expliquer, n\u00e9gocier et \u00e9tablir un climat de confiance.&nbsp;<\/p>\n\n\n\n<div class=\"wp-block-group is-layout-constrained wp-block-group-is-layout-constrained\">\n<div class=\"wp-block-group has-white-background-color has-background is-layout-constrained wp-block-group-is-layout-constrained\">\n<p><br>1.
