Parmi les situations pouvant avoir un impact sur la responsabilit\u00e9 professionnelle, examinons la vente de projets entre promoteurs.<\/strong><\/p>\n\n\n\n<p>Prenons l\u2019hypoth\u00e8se suivante\u2009: vous avez obtenu un contrat de services professionnels portant sur la pr\u00e9paration des plans pour construction d\u2019un immeuble d\u2019une vingtaine d\u2019appartements en copropri\u00e9t\u00e9. Vos honoraires ont \u00e9t\u00e9 enti\u00e8rement pay\u00e9s. Or, votre client d\u00e9cide, pour des motifs qui ne sont pas port\u00e9s \u00e0 votre connaissance, de c\u00e9der les droits qu\u2019il d\u00e9tient dans le projet.<\/p>\n\n\n\n<p>Le promoteur ayant acquis ces droits communique avec vous pour vous demander d\u2019effectuer certaines modifications aux plans. Quels sont vos droits li\u00e9s aux plans d\u00e9j\u00e0 produits pour votre client initial\u2009?<\/p>\n\n\n\n<p>Ces plans constituent une \u0153uvre artistique au sens de la Loi sur le droit d\u2019auteur. Cette \u0153uvre pr\u00e9sente une valeur objective, et elle constitue un actif qui appartient \u00e0 votre client. Lorsque le client paie des honoraires pour la pr\u00e9paration de plans et devis, on consid\u00e8re que ce paiement lui donne le droit ou la licence implicite d\u2019\u00e9riger l\u2019\u0153uvre. Ce droit ou cette licence peut \u00eatre c\u00e9d\u00e9 \u00e0 un tiers.<\/p>\n\n\n\n<p>Dans ce contexte, le nouveau titulaire de cette licence a le droit de proc\u00e9der \u00e0 des modifications mineures (d\u00e9placer une garde-robe, par exemple). Par contre, en l\u2019absence de cession formelle des droits moraux dont l\u2019architecte demeure titulaire, il ne peut y avoir de modifications substantielles aux plans (soit des modifications susceptibles de d\u00e9naturer l\u2019\u0153uvre ou de porter atteinte \u00e0 son int\u00e9grit\u00e9). Toute modification de cette nature n\u00e9cessite votre autorisation pr\u00e9alable. Rien ne vous emp\u00eache alors de conclure une convention de services professionnels avec le nouveau promoteur pour modifier vos plans \u00e0 sa demande.<\/p>\n\n\n\n<p>Retenez que votre client peut valablement c\u00e9der \u00e0 un tiers les plans que vous avez pr\u00e9par\u00e9s, \u00e0 moins qu\u2019une disposition du contrat ne l\u2019emp\u00eache de le faire. Toute modification substantielle devra cependant faire l\u2019objet de votre autorisation pr\u00e9alable.<\/p>\n\n\n\n<p>Reprenons maintenant notre hypoth\u00e8se de d\u00e9part, mais brouillons un peu les cartes. Vos plans sont pratiquement termin\u00e9s quand votre client vous informe qu\u2019il doute de pouvoir r\u00e9aliser le projet, en raison de difficult\u00e9s financi\u00e8res. \u00c0 ce stade, il ne vous a pay\u00e9 qu\u2019une partie de vos honoraires. Puis, un autre promoteur souhaitant utiliser ces plans vous propose de signer une nouvelle entente de service. Pouvez-vous proc\u00e9der\u2009?<\/p>\n\n\n\n<p>Rappelons que, lorsque le contrat initial ne comporte aucune mention particuli\u00e8re en lien avec les droits d\u2019auteur et les droits moraux, les tribunaux consid\u00e8rent tout de m\u00eame que le contrat d\u2019architecture comporte implicitement le droit, pour le promoteur, de r\u00e9aliser l\u2019\u0153uvre. Ainsi, en raison des honoraires vers\u00e9s, le promoteur initial pourrait consid\u00e9rer qu\u2019il est titulaire de ce droit, \u00e0 tout le moins en partie.<\/p>\n\n\n\n<p>Cela dit, \u00e0 titre d\u2019architecte, vous demeurez titulaire des droits d\u2019auteur et des droits moraux sur vos plans. Vous pouvez donc les r\u00e9utiliser. Il faut cependant \u00e9viter qu\u2019un litige ne survienne avec votre client initial. Est-ce que celui-ci pourrait vouloir r\u00e9clamer les honoraires qu\u2019il vous a vers\u00e9s s\u2019il \u00e9tait inform\u00e9 que les plans seront utilis\u00e9s par un tiers\u2009? Peut-\u00eatre&#8230;<\/p>\n\n\n\n<p>Il faudra donc vous assurer de conna\u00eetre les intentions de votre client initial quant \u00e0 la suite du projet et quant au paiement de vos honoraires avant d\u2019accepter de conclure une entente avec un nouveau promoteur. D\u00e8s lors, vous serez en mesure d\u2019\u00e9valuer les risques.
